Terms of Service

1. Acceptance of terms
These Terms of Service (the “Terms”) govern your access to and use of CaptionLayer (the “Service”), operated by TATLAB LTD, a company registered in England and Wales (Company No. 17289453), with its registered office at 128 City Road, London, EC1V 2NX, United Kingdom (“we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Description of the Service
CaptionLayer lets you upload short-form video, automatically transcribe its audio, and export videos with burned-in captions along with subtitle files (such as SRT, VTT, and ASS). Uploads must meet the format, file size, and duration limits shown in the app and must contain an audio track. The Service is offered on a pay-as-you-go basis: you purchase a balance of processing minutes and spend them as you caption videos. It also offers an API and API keys for programmatic access.
3. Accounts
You may create an account with an email address and password, or by signing in with a third-party identity provider such as Google. You are responsible for keeping your credentials confidential and for all activity under your account. You must provide accurate information and be at least 16 years old (or the age of digital consent in your country). API keys are shown once at creation and cannot be recovered if lost.
4. Acceptable use
You agree not to use the Service to:
- upload, process, or distribute content that is unlawful, infringing, or that you do not have the rights to;
- violate the intellectual property, privacy, or publicity rights of others;
- circumvent usage limits, resell the Service without authorisation, or share access to defeat billing;
- reverse engineer, disrupt, or place undue load on our infrastructure; or
- process content depicting or targeting minors unlawfully, or any other prohibited material.
We may suspend or remove content and accounts that breach this section.
5. Payment, billing & refunds
Paid minutes are sold as prepaid packs and processed by our payment provider, Stripe. New accounts receive a small number of free minutes to try the Service, shown at signup. Minutes are charged based on the actual length of each clip you caption. Editing a clip and re-rendering it reuses the existing transcription; your first two re-renders of the same clip do not consume additional minutes. Purchased credits remain valid for 12 months from the date of purchase. Prices are shown at checkout and may be exclusive of taxes, which are added where applicable.
You may optionally save a payment method for faster top-ups. If you do, we will only charge it for a purchase you confirm; we do not charge saved cards automatically without your action. You can remove a saved card at any time.
Where you are a consumer in the UK or EU, you have a statutory right to cancel within 14 days. However, by starting to caption a video you request that we begin supplying digital content immediately, and you acknowledge that your right to cancel is lost for minutes that have already been consumed. Unused minutes may be refunded on request. To request a cancellation or refund, contact us at the address in Section 14.
6. Your content
You retain all rights to the videos, audio, and other materials you upload (“Your Content”). You grant us a limited, non-exclusive licence to store, process, and transmit Your Content solely to provide the Service — including sending audio to our transcription provider and generating captioned outputs. You are responsible for ensuring you have the rights and any necessary consents to upload and process Your Content.
7. Service availability
Transcription is performed by third-party providers and results are supplied “as is” without any guarantee of accuracy. We aim for high availability but do not guarantee that the Service will be uninterrupted or error-free, and we may modify, suspend, or discontinue features.
8. Intellectual property
The Service, including its software, design, and branding, is owned by us or our licensors and is protected by law. Except for the rights expressly granted to you, no rights are transferred. You may not use our trademarks without permission.
9. Disclaimer of warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
10. Limitation of liability
To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, or consequential damages, or loss of profits, data, or goodwill. Our total liability arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law, such as for fraud or death or personal injury caused by negligence.
11. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms or if required to protect the Service or comply with law. Sections that by their nature should survive termination will continue to apply.
12. Changes to these Terms
We may update these Terms from time to time. For material changes we will provide reasonable notice by email or through the Service. Your continued use after changes take effect constitutes acceptance.
13. Governing law
These Terms are governed by the laws of England and Wales. The courts of England and Wales have jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of your country of residence where required by local law.
